This Linking Agreement sets forth the terms and conditions upon which you are permitted to create a direct hyperlink to the Kelley Blue Book Co., Inc. (“Kelley”) website located at www.kbb.com (“KBB.com”). By creating such a link to KBB.com, you agree to be bound by the terms and conditions set forth in this Linking Agreement. Kelley reserves the right to revise this Linking Agreement at any time, so we encourage you to read it often.
The links to KBB.com must be direct (“Permitted Links”); no intermediate pages, advertisements, or re-routes are permitted.
The Permitted Links are the only ones allowed without our prior written permission. You may use the Permitted Links as text-based links using only the words “Kelley Blue Book” or “KBB.com” (the “Kelley Marks”) or graphic-based, provided the graphic is one of the approved logos set forth and used in accordance with the guidelines at http://www.kbb.com/company/logo (“Kelley Logos”). To the extent necessary under applicable laws, Kelley grants to you a non-exclusive, limited, revocable and royalty-free license to use the Kelley Marks and Kelley Logos solely in connection with a Permitted Link, subject to the terms and conditions set forth in this Linking Agreement. You agree to properly and accurately display the Kelley Marks and/or Kelley Logos in their entirety. You may not modify or alter the Kelley Marks or Kelley Logos in any manner, or combine the Kelley Marks or Kelley Logos with any other mark or logo.
No Use of Kelley Marks in Ad Text.
You agree NOT to use any Kelley Marks in any search engine advertising text, including Google AdWords sponsored ads, and expressly agree that Your use of the Kelley name, Kelley Marks, and/or Kelley Logos to link to KBB.com shall not constitute the right to sell, and shall not be used to facilitate the sale of, any product or service of Kelley, without the further express written agreement of Kelley.
No Framing
You agree NOT to: (i) “frame” any portion of KBB.com, or display or use a link in any manner that causes any portion of KBB.com content to be displayed within a frame, (ii) incorporate KBB.com content into a third-party web site, or (iii) use any other techniques that alter in any way the visual presentation or appearance of KBB.com.
No Data-Mining
You agree NOT to use any links to KBB.com for the purpose of harvesting or data-mining, for creating or distributing a competitive database, or for otherwise engaging in unfair competition with Kelley.
Other Prohibitions
In addition to the above prohibitions, you may not: (a) display or use a link in any manner that states or implies any endorsement by, or affiliation with, Kelley; (b) display or use any link to directly access any data file contained in KBB.com; (c) alter, block or otherwise prevent display of any content of KBB.com; or (d) link to KBB.com from any website containing obscene, defamatory, harassing, illegal, offensive, or malicious material.
Injunctive Relief
You agree that any breach of this Linking Agreement would cause Kelley irreparable injury, such that Kelley would have no adequate remedy at law. In the event of such breach, Kelley shall be entitled to emergency injunctive relief in addition to any other remedies it may have at law or in equity or under the terms of this Linking Agreement.
Termination
You agree that Kelley may revoke its linking permission at any time in its sole discretion, including for quality control purposes relating to the maintenance of high quality standards for the Kelley Marks and Kelley Logos. Upon your receipt of notice of such revocation, you shall immediately: (a) discontinue or disable any link to KBB.com; (b) remove any and all occurrences of the Kelley Marks and Kelley Logos from your website(s); and (c) destroy all copies of data from KBB.com in your possession, custody or control.
Proprietary Rights
You acknowledge and agree that KBB.com and all content and material on KBB.com contain proprietary information that is protected by applicable copyright, trademark and other intellectual property laws (Kelley’s “Proprietary Information”). All content and material on KBB.com, including such Proprietary Information, may only be used for personal, non-commercial purposes, and you agree not to sell, transfer, reproduce, duplicate, distribute, publish, modify, migrate, store, copy or transmit any content and/or material from KBB.com unless and until you have obtained our prior written consent. The Proprietary Information covered by this prohibition includes, without limitation, the software programming and html and other code contained in KBB.com, Kelley Vehicle Values and/or Pricing information, compilations of vehicle specifications, any text, graphics, logos, photographs, audio or video material or stills from audiovisual material available on KBB.com.
Disclaimer of Warranties
By creating a link to KBB.com, you expressly understand and agree that your use of KBB.com is at your sole risk. Kelley provides KBB.com on an “as is” and “as available” basis. Kelley and its owners, shareholders, subsidiaries, affiliates, officers, employees, agents, partners and licensors are not responsible for errors or omissions and expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Kelley and its owners, shareholders, subsidiaries, affiliates, officers, employees, agents, partners and licensors make no warranty that KBB.com will meet your requirements and/or be uninterrupted, timely, secure, error-free, accurate or reliable.
Limitation of Liability and Indemnity
You expressly understand and agree that Kelley and its owners, shareholders, subsidiaries, affiliates, officers, employees, agents, partners and licensors shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Kelley has been advised of the possibility of such damages), resulting from the use or the inability to use KBB.com, or your links to it, or any other matter relating to KBB.com. When you access or link to KBB.com, you are agreeing to indemnify Kelley, its owners, shareholders, subsidiaries, affiliates, officers, employees, partners, and licensors and hold them harmless from any and all claims and expenses, including attorney’s fees, arising from your link to or use of KBB.com.
Governing Law
This Linking Agreement shall be governed by the laws of the State of California and the United States without reference to its conflict of laws provisions. You and Kelley agree to submit to the personal and exclusive jurisdiction of the courts located within Orange County, California.
