The Role

We are seeking a highly motivated and experienced Corporate Controller with a strong understanding of mergers and acquisitions (M&A) to lead and oversee all aspects of our company's financial operations. This key role will be responsible for the accuracy and integrity of financial reporting, ensuring compliance with all accounting standards and regulations, and providing insightful financial analysis to support informed decision-making across the organization, including during M&A activities. This role can be located anywhere in the United States or Canada.


Responsibilities


Financial Operations:

  • Manage the day-to-day operations of the accounting department, including accounts payable, accounts receivable, general ledger, payroll, and financial reporting.
  • Develop, implement, and maintain strong internal controls to safeguard company assets and ensure financial data accuracy.
  • Oversee the monthly, quarterly, and annual closing processes, ensuring timely and accurate financial statements.
  • Work collaboratively with external auditors to facilitate the audit process and address any inquiries.
  • Prepare and manage the annual budget and financial forecasts, conducting variance analysis and recommending adjustments as needed.

M&A Expertise:

  • Lead the financial due diligence process for potential acquisitions, including analyzing target company financials, identifying and assessing risks, and providing deal valuation support.
  • Partner with the M&A team to develop and implement the financial aspects of the merger integration plan.
  • Analyze and model potential synergies and cost savings from M&A transactions.
  • Support post-merger integration efforts by ensuring smooth financial consolidation and reporting for the combined entity.

Financial Analysis & Communication:

  • Analyze financial data, trends, and metrics to identify potential risks and opportunities, and provide strategic financial insights to the CFO and executive team.
  • Manage and develop the accounting team, providing coaching, and mentorship, and ensuring their professional growth.
  • Stay up-to-date on current accounting principles (GAAP) and relevant industry regulations, including M&A accounting standards.
  • Maintain strong relationships with external financial institutions, including banks and investment firms.
  • Prepare and communicate financial reports, including M&A-related financial information, to the Board of Directors and senior management.

Stakeholder Communication:

  • Communicate financial performance, forecasts, and key metrics to internal stakeholders, including executives, department heads, and board members.
  • Serve as a financial advisor, offering insights and guidance on financial matters impacting the organization's growth and profitability.


Qualifications

  • CPA qualification is required
  • Bachelor's degree in Accounting or Finance
  • Minimum 7-10 years of experience in a corporate accounting role, with 3+ years in a leadership capacity.
  • 3-5 years of experience in M&A accounting diligence and post-merger finance integration.
  • Proven experience in managing all aspects of the accounting cycle, including closing, consolidation, and financial reporting.
  • Strong understanding of internal controls and risk management principles.
  • Experience with budgeting, forecasting, financial analysis, and M&A transactions.
  • Excellent analytical and problem-solving skills.
  • Superior communication, interpersonal, and leadership skills.
  • Proficient in accounting software (e.g., QBO, Oracle NetSuite, SAP) and financial modeling tools (e.g., Excel).
  • Ability to work independently and manage multiple priorities in a fast-paced environment.
