Description

Summary: The Senior Corporate Counsel will provide legal guidance across a variety of areas, including marketing, sales, supply chain, clinical, regulatory, and quality with a focus on supporting the commercial functions within a U.S.-based business with operations and sales across the globe. They will be a true business partner, with strong interpersonal and influence skills, and must develop strong relationships with senior leadership, appropriately manage expectations, and provide accurate, practical, risk-based legal advice.


Essential Duties And Responsibilities

  • Draft, negotiate and review a wide range of agreements, including customer account agreements, supply contracts, vendor agreements, distribution agreements, and marketing agreements, ensuring that the organization’s interests are protected and that contracts comply with internal policies and applicable laws and regulations.
  • Support the business as a strategic thought partner on a variety of commercial transactions involving the sale and distribution of the company’s products both in U.S. and internationally.
  • Serve as a key legal advisor to the company’s commercial teams, providing ongoing legal advice and counsel on relevant topics such as pricing, promotional programs, sales rep agreements, and contract interpretation. Support the sales, marketing, and e-commerce teams in resolving legal issues and concerns that may arise with customers or distributors.
  • Provide expert legal advice and counsel to the organization's management team, executives, and other stakeholders. This includes assisting with legal issues related to business operations, contracts, and risk management.
  • Collaborate with cross-functional teams, including sales, marketing, finance, human resources, and other commercial teams, to understand their needs and ensure contracts support strategic goals.
  • Assist in the development and implementation of policies and procedures to ensure legal compliance and mitigate legal risks. Review and update existing policies to align with changes in laws and regulations.
  • Identify training needs and develop and implement training and educational sessions to employees and third-party partners on legal, compliance, and risk management matters, ensuring that all constituencies are aware of company policies, applicable laws and regulations, and their related compliance obligations and responsibilities.
  • Supervise and direct outside counsel as needed.
  • Work in close cooperation with Regulatory Affairs and Quality Assurance departments to ensure close coordination on all compliance matters.
  • Develop a thorough understanding of and familiarity with ZO Skin Health’s business, its people, products, markets, facilities, customers, and competitors, and use this knowledge in providing legal guidance and counsel.
  • Establish protocols for data protection, privacy, and compliance with regulatory requirements such as GDPR or HIPAA.
  • Other duties may be assigned to fulfill objectives and/or job duties and requirements may be changed as needed to meet current and future business needs.


Qualifications

  • Juris Doctor degree from an accredited law school, demonstrate a strong academic background, and be admitted to a U.S. state bar in good standing.
  • 7+ years of experience as an attorney with experience working both at a top law firm and as commercially focused in-house counsel at a multinational company.
  • Ability to handle multiple projects with a sense of urgency while exercising sound commercial and legal judgment.
  • Strong process and analytical skills.
  • Excellent problem-solving ability.
  • Excellent time management skills and ability to manage competing priorities while ensuring timely completion and follow-up.
  • Ability to independently handle complex matters with minimal supervision and understand which issues to elevate to senior management and appropriate timing for doing so.
  • In addition to top-notch legal skills and impeccable ethics, excellent interpersonal, strategic thinking, communication, and organizational skills.
  • Experience representing an FDA regulated company, including knowledge of laws and regulations pertaining to the marketing and sale of OTC drugs/cosmetics to medical professionals.
  • Demonstrated ability to understand and comply with applicable FDA regulations and company operating procedures, processes, policies, and tasks.

Work Environment: The work is typically indoors in an office environment but may also work in the field with outside sales and/or a warehouse environment.


Work Hours: The work schedule is 5 days per week, 8 hours per day. Initial start time may vary, with work hours typically from 8am-5pm. Work hours and shifts are subject to change depending on operating business conditions and needs. The position resides in Orange County but may be hybrid with one day being remote work.


Physical and Mental Demands: Sedentary, exerting up to ten pounds of force occasionally, or negligible amounts of force frequently, to move objects. This job also requires constant sitting. Constant use of the upper extremities is required to reach, handle, and position tools and equipment. The employee must know and follow proper safety protocols and maintain a professional and polished appearance and be able to efficiently use Microsoft Office Programs and other systems at a highly advanced level. The employee must also be able to maintain and preserve confidentiality of company information, exhibit strong interpersonal skills and the ability to build relationships with internal stakeholders including international affiliates.
