Not all capital coming to your company for investment is equal, terms matter far more than the capital itself. We recently turned down investment from a tier-1 academic institute affiliated program. For the kind of capital coming in and the dilution attached, both of them being small, the terms were borderline diabolical. They asked for some rights which just didn't make any sense for the kind of transaction which we were trying to execute. A founder - investor relationship is like a partnership and just like most partnerships, the magic lies in balance. Founders dilute their stake to share the control & ownership with investors who bring in capital & network for growth. Together both aim at creating value. The kind of terms we were handed over was not akin to sharing control but more like losing control, that too at an early stage. Now, I'm not a control freak but handing over reins to someone who is probably going to watch from the fences, all in the name of safeguarding minority stakeholder's interest is just unacceptable. I made two mistakes in the whole process: 1. Didn't ask for the term sheet right at the beginning, assuming their affiliation with academic institute would carry this balance by default 2. Not doing my own due diligence again because of the same reason I lost good amount of time in the whole process but as they say some lessons are just learned the hard way. Newlane Investment Update #Day17 - Investors following on makes me happy & why our innovation is like the shard 😂 Yesterday I had a catch up with one of our early investors and I loved how positive and excited he still is for our business. He: 🎢 Recognises that what we’ve achieved so far is significant and has been real tough 💰Has committed more funds to the round as he wants to continue backing us 👀 Is making an intro to a potential well known brand ambassador/influencer 💡Wants to meet up about an idea he’s got (I’ll post more on this later) We didn’t assume or expect any of the above but it’s more fuel to the fire 🔥 Sometimes when things don’t go exactly to plan (please tell me what does), you start to doubt yourself. But, 6 of our existing investors have decided to back us again. Now that’s one hell of a confidence boost. Anyway, side note, when we were grappling with the safety tests for the helmet, Dom and I used to walk past the shard and say ‘IF THEY CAN BUILD THE SHARD, WE CAN CREATE THIS HELMET!’ It took us waaay longer than we thought but honestly, it’s cliche, but if you really commit to something you can/will get it done. You just might have to commit 5+ years to it… #raisingcapital #investment #entreprenuer

Navigating investors is a very unique set of challenges for a founder. I’ve been ghosted before after months of conversations and promises. I also turned down a £400k investment ticket once (which was more than our pre-seed round total at the time!) after noticing a few red flags from an investor Here’s 4 negative traits to look out for when speaking to angel investors: 🚩 Aggressive push for control Experienced angels understand the importance for the founder to retain control. You know your business and understand better than them in terms of exactly what it needs to grow. Their support isn’t just financial but also in helping you to build an experienced and diverse board. 🚩 Too focused on valuation Some angels push for valuations way below the market standard which can create a mess on your cap table and put founders in a poor ownership position. 🚩 Empty promises This one hurts the most. These types of angels love to promise so much (which is a red flag in itself) yet often fail to deliver. 🚩 Concerningly unclear sources of funding Be VERY way of this. Sometimes you’ll get an investor who’s willing to pour in loads of money off rip (?) but doesn’t have a clear track record of investments. You’re left scratching your head thinking ‘but where is such a huge lump sum of money coming from?' What’s funny is these sort of investors will most likely refuse to connect you with other founders in their portfolio to verify how they've helped them. Dodgy! I’m sure there’s more but these are the main ones that come to mind. What would you add to this?
