Harris St. Laurent & Wechsler LLP
The Delaware Court of Chancery issued an important victory to HSW in the firm’s ongoing action against BuzzFeed, striking down the media company’s second attempt to prevent a group of former employees from arbitrating their claims stemming from its initial public offering. Partners Joseph Gallagher, Yonaton Aronoff and Jonathan Harris represent more than 40 former BuzzFeed employees who allege they were wrongfully locked out of selling their shares (causing them to suffer millions of dollars in losses) after the company went public via a SPAC transaction in late 2021. HSW brought the former employees’ claims in arbitration and BuzzFeed Inc. (NASDAQ: BZFD) filed suit in Delaware court to stop the arbitration. This latest gambit by BuzzFeed was its second attempt to force HSW’s clients to sue in Delaware. But the Chancery Court rejected BuzzFeed’s arguments, agreeing with HSW that only an arbitrator can decide where the suit belongs. A similar group of former BuzzFeed employees are represented by The Galbraith Law Firm and O'Brien LLP, and both groups are represented jointly by Bailey & Glasser, LLP in Delaware #Arbitration #IPO #SPAC

Her Justice
We're back with more news about the IOLA Fund. Two months ago, the legal community staved off an unprecedented proposal to sweep $100 million away from the IOLA Fund into the general State budget. We've just learned there's a renewed effort to sweep $55 million away from the Fund. IOLA is one of the top funders for civil legal services in New York State. Her Justice and our many community partners depend on its funding to support our clients and communities. As a reminder, in FY2023, 81 IOLA grantees closed over 307,000 cases benefiting more than 639,000 New Yorkers – the vast majority of whom faced challenges involving food, shelter, jobs, and healthcare. Telesca Center for Justice
In a demonstration of the strength in collaboration, just a few months ago, legal service organizations throughout New York State came together and stopped an unprecedented proposal to sweep $100 away from the IOLA Fund (which provides critical funding to non-profit legal organizations in every region of the state to serve low-income New Yorkers, including the Telesca Center for Justice partners). And now, that collaborative strength is necessary again. A late-breaking proposal from #GovernorKathyHochul would ‘sweep’ $55 million from the Interest on Lawyers Account Fund (IOLA). At no time in IOLA’s 40-year history -- despite the budget fluctuations facing the state through those years -- have these funds been diverted to any other purpose. Any shift of IOLA revenue to pay for other government programs – however needed – could destroy IOLA as a vital source of support for legal services for the most vulnerable New Yorkers. “Fundamentally, this would take non-taxpayer dollars from low-income New Yorkers who need access to civil legal services,” Kristin Brown, President of the New York Legal Services Coalition. Read more in the article linked below from Law.com, and check out the statement released by IOLA for more about this second proposed sweep.

Hona (YC W23) has raised $9.5M in Series A funding to help law firms reduce the communication friction with their consumer clients. Manny Griffiths encountered frustrating communication gaps with his personal injury lawyer after his wife’s car accident, prompting him to investigate further. What he discovered was that this was a pain shared by many, with 44% of negative Google reviews for consumer-focused law firms citing poor communication. Despite lawyers spending 37% of their day on communication, interruptions and time constraints often hindered effective client updates. Motivated by these insights, Manny teamed up with co-founders Joshua Christensen and Matt McClellan to build Hona, a communication portal aimed at enhancing client-lawyer communication. Integrated with law firms’ existing case management systems, Hona automatically updates and educates clients, aiming to provide transparency similar to tracking an Amazon package. Since launching in February of 2022, the Lehi, Utah-based company has seen continuous demand — growing its revenue by 400% in 2023. Today, Hona works with more than 500 law firms and has been used by 308,000 clients already. Congrats to the team on the Series A! Read more: https://lnkd.in/gXhrP4kS

Employee Retention Credit (ERC / ERTC) IRS Tax Refund Services from Disaster Loan Advisors™
New Jersey Attorneys, Lawyers, and Law Firms Employee Retention Credit in NJ (revised Jan. 2024) https://lnkd.in/gKyV_g7H Key ERC Credit Takeaways: - NJ Law Firms May Qualify: Determine if your legal practice is eligible for the ERC. - Significant Tax Relief: The ERC offers substantial aid for affected NJ legal businesses. - Extended Filing Deadlines: NJ businesses have until 2024 and 2025 to file for the ERC. - Explore ERC with Experts: Professional advice can guide NJ law firms through ERC claims. Important 2024 and 2025 ERC Tax Credit Deadline: The 2020 ERC Credit Tax Year deadline of 4/15/24 has already passed. Good news? The opportunity to retroactively claim your business Employee Retention Credit for the prior 2021 Tax Year is still available, with a next year April 15, 2025 deadline. This really is your FINAL chance at any potential ERC tax credit refund! Not all businesses will qualify, as it depends on multiple factors per IRS Rules and Guidelines. You might be leaving significant financial relief on the table from past COVID harm to your business in 2021. In late 2023, the IRS had “temporarily” paused processing. You will still want to check eligibility and file now (if you qualify) because the IRS will resume processing tax credit claims in the order they are received. TAKE ACTION NOW IN 2024 DON’T WAIT! Since the IRS has over 1,000,000+ Quarterly 941-X tax forms in their processing queue, this has caused much longer delays in getting ERC Refund Checks for those that qualify. The IRS processes ERC Claims in the order they are received. If you haven’t previously filed for the ERC Credit, it is worth scheduling a phone call to explore your possible eligibility from the past 2021 business tax year. Again, not all businesses will qualify, but it’s worth a professional deep-dive evaluation. https://lnkd.in/dtr69VW9 #ERC #ERTC #EmployeeRetentionCredit #EmployeeRetentionTaxCredit #TaxCredit
